All quotations issued by TCD – THE CLOTH DIRECTION are valid for a period of thirty (30) days from the date
of issue unless otherwise specifically mentioned in writing.
Prices quoted are based on prevailing costs of raw materials, fabrics, trims, accessories, logistics, taxes,
duties, and operational expenses. The Company reserves the right to revise prices without prior notice in the
event of any cost escalation or unforeseen market fluctuations.
An order shall be deemed confirmed only upon:
Written acceptance by the customer;
Approval of specifications, artwork, quantities, sizes, colours, and customisation details; and
Receipt of the agreed advance payment.
All products manufactured by TCD are produced strictly according to customer-approved specifications.
Customers are advised to thoroughly verify all details before granting final approval.
Customised, personalised, printed, embroidered, branded, private-label, or made-to-order products shall not
be eligible for return, exchange, cancellation, adjustment, or refund under any circumstances once production
has commenced.
All payments received by the Company are strictly non-refundable, non-transferable, and non-adjustable
against future orders, services, or projects.
Sample approvals, artwork approvals, color approvals, fabric approvals, and size approvals shall be treated
as final authorisation from the customer for production purposes.
Standard manufacturing timelines are estimated at a minimum of thirty (30) to forty-five (45) working days
from the date of final approval and receipt of applicable advance payments. Production timelines may vary
depending on order volume, customisation complexity, raw material availability, seasonal demand,
transportation constraints, and force majeure situations.
Delivery dates communicated by the Company are approximate estimates and shall not constitute guaranteed
delivery commitments.

are inherent to the manufacturing process and shall not be considered defects or grounds for rejection.
Production quantity tolerance of up to ±5% shall be deemed acceptable and industry standard unless otherwise
agreed in writing.
Transportation, loading, unloading, warehousing, insurance, handling, forwarding, courier, and logistics
charges shall be chargeable extra unless specifically included in the quotation.
Risk and responsibility for goods shall transfer to the customer immediately upon dispatch, handover to the
transporter, courier partner, logistics provider, or customer representative.
TCD shall not be responsible for any loss, theft, shortage, damage, deterioration, delay, or destruction
occurring during transportation, warehousing, handling, or delivery after dispatch.
End-to-end insurance coverage for raw materials, work-in-progress inventory, finished goods, transit
shipments, warehousing, and logistics shall remain solely the responsibility of the customer unless expressly
agreed otherwise in writing.
Any shortage, transit damage, visible defect, or discrepancy must be reported in writing within forty-eight
(48) hours of receipt of goods, failing which the goods shall be deemed accepted in full and without
objection.
The customer represents and warrants that all logos, trademarks, brand names, artwork, graphics, designs,
photographs, content, and intellectual property supplied to TCD are lawfully owned, licensed, or authorized
for use.
TCD acts solely as a contract manufacturer and production service provider. The Company shall not be
responsible for verifying ownership, licensing, authorization, trademark registrations, copyright permissions,
or intellectual property rights relating to any material supplied by the customer.
The customer shall indemnify, defend, and hold harmless TCD, its directors, officers, employees, affiliates,
agents, and representatives against any claim, dispute, infringement action, legal proceeding, loss, damage,
penalty, liability, or expense arising from customer-supplied logos, trademarks, artwork, content, designs, or
specifications.
All mockups, catalogues, presentations, design concepts, technical sheets, production documents,
photographs, marketing materials, and proprietary manufacturing processes developed by TCD shall remain the
exclusive intellectual property of the Company unless otherwise agreed in writing.
Ownership of goods shall remain with TCD until full payment of all outstanding dues, taxes, charges, and
applicable costs has been received and realized.
Delayed payments may attract interest, collection charges, legal expenses, and recovery costs as permitted
under applicable laws.
TCD reserves the right to suspend production, withhold dispatch, cancel manufacturing schedules, or
terminate business engagements in the event of payment default, incorrect information, pricing errors, legal
disputes, stock shortages, force majeure events, or unforeseen circumstances.
TCD shall not be liable for delays, losses, or non-performance resulting from events beyond its reasonable
control including but not limited to natural disasters, floods, fires, pandemics, strikes, labor shortages,
transportation disruptions, governmental actions, power failures, war, civil disturbances, or supply-chain
interruptions.
Acceptance of any quotation, sales order, invoice, delivery challan, dispatch advice, purchase order
execution, manufactured goods, or services supplied by TCD shall constitute full acceptance of these Terms &
Conditions.

All disputes shall be subject exclusively to the jurisdiction of the competent courts located at Indore,
Madhya Pradesh, India.
